Broker Participation Policy

Customers are free to use their own broker or agent when purchasing a home from ONX, and ONX looks forward to cooperating with participating brokers to help them provide their clients with a great customer experience. This Broker Participation Policy describes the terms and conditions on which ONX pays commissions to a participating real estate brokerage (a “Participating Broker”).

ONX does not pay commissions to Participating Brokers in every community, and commission programs may vary by ONX community. In order for a Participating Broker to receive a commission in connection with the sale of real property in a certain ONX community, ONX must be offering a commission in such community and the Participating Broker must be documented on the first customer interaction with an ONX employee in respect of such community. This means that the prospective buyer (the “Prospect”) must identify and register the Participating Broker: (i) when the Prospect first contacts an ONX employee about a home or community; (ii) when the Prospect first discusses or is introduced to a community or home by ONX’s sales employees, including any virtual discussion or introduction; (iii) when Prospect first visits a community; or (iv) when the Prospect first attends a self-guided tour of a community, whichever is first to occur. A failure of a Prospect to register a Participating Broker upon the initial communication with ONX about a particular community will render any broker engaged by such Prospect ineligible for commission in respect of any purchase by the Prospect in such community.

Notwithstanding the foregoing, registration of a Prospect by a Participating Broker is not sufficient for Participating Broker to be eligible for a commission. Participating Broker, or its affiliated agent or sales associate, must also accompany the Prospect during the Prospect’s initial visit or initial self-guided tour of a home in a community. If the Prospect is not local and does not visit the community in person, the Participating Broker, or its affiliated sales associate, must accompany the Prospect on the first virtual tour. If ONX’s tracking system indicates that the Prospect previously inquired about a community with an ONX employee without identifying and registering the Participating Broker, or initially registered at a sales office or attended a self-guided tour of a community without registering or being accompanied by Participating Broker or its affiliated agent or sales associate, neither Participating Broker nor its agent or sales associate shall be entitled to receive a commission in connection with the sale of real property in any ONX community to such Prospect.

The registration is effective for a period of sixty (60) days from the date of registration (“Registration Period”). Participating Broker may extend the Registration Period for an additional sixty (60) days by accompanying Prospect to the sales office for the ONX community in person (or virtually if Prospect is not local) before the expiration of the initial Registration Period. ONX will not accept any requests for extension of the Registration Period by phone or by email.

Participating Broker will not be eligible for a commission unless Participating Broker and ONX execute a written agreement (“Participating Broker Agreement”) setting forth the amount of the commission and any additional terms and conditions prior to or at the time Prospect executes a contract to purchase an ONX home. The Participating Broker Agreement shall be null and void if Participating Broker or its agent or sales associate have not met the terms and conditions of this Broker Participation Policy. In addition to any other conditions set forth in this Broker Participation Policy and any Participating Broker Agreement, in order for Participating Broker to be eligible to receive a commission, the Prospect must contract to purchase a home in the applicable ONX community before the expiration of the Registration Period, and close on the purchase of the home pursuant to ONX’s form of purchase and sale agreement. This registration, or any extension thereof, does not protect Participating Broker from another broker registering the same Prospect with ONX. Any Participating Broker Agreement, and any registration of a Participating Broker documented thereby, is effective only as to the community indicated in the Participating Broker Agreement – meaning, for the avoidance of doubt, that if a Participating Broker intends to be registered as a Participating Broker in respect of a Prospect’s interest in properties in multiple ONX communities, then Participating Broker will need to enter into a Participating Broker Agreement in respect of each such ONX community.

In all cases, Participating Broker shall be solely responsible for payment of any commission to its sales associates or agents. The registration forms, sign-up sheets and other incentives, contracts, or forms given to Prospects or buyers of homes are trade secrets of ONX.

ONX – Broker Bonus Program

ONX’s Broker Bonus Program (the “Bonus Program”) offers Participating Brokers an additional commission incentive based on the volume of sales to Prospects generated by such Participating Broker per ONX community during each calendar quarter.

Under the Bonus Program, ONX may publish from time to time certain commission incentives for multiple sales in a particular community (any such incentives, “Bonus Incentives”). Bonus Incentives may vary by ONX community. In order for any sale to qualify for Bonus Incentives, the applicable Prospect must execute a contract to purchase a home in the applicable ONX community during a particular calendar quarter, and close on such purchase no later than the date stated in the executed contract (any such sale, a “Bonus Eligible Sale”).

Contracts entered in different calendar quarters will not be counted together for purposes of determining Bonus Eligible Sales for a particular calendar quarter. For the avoidance of doubt, any contract that is canceled by the Prospect or fails to close due to any action or omission of the Prospect will not be a Bonus Eligible Sale. Bonus Eligible Sales in respect of a sale of a home in one community will not be combined with Bonus Eligible Sales in respect of a sale of a home in a different community for purposes of determining any Bonus Incentives.

The Bonus Program expires at the end of each calendar quarter. Any Bonus Incentives will be deemed earned and paid at the time of closing of the applicable Bonus Eligible Sale. ONX reserves the right to change the terms of the Bonus Program and any Bonus Incentives at any time without notice. The total commission and bonuses paid as Bonus Incentives are subject to limitations, if any, on the total broker commission imposed by any Prospect’s lender.
